Effective date: 18 July 2026
These General Terms and Conditions of Sale ("Terms") govern all quotations, orders, and sales of products by E.S.E Engineering Research and Development Ltd. ("ESE", "Seller"), a company registered in Israel with its registered office at Ha'Avoda 7, Ariel, Israel, to any business, professional, or institutional buyer ("Buyer").
1. Business-to-Business Sale Only
ESE's products (the "Products") are sold exclusively for professional, commercial, industrial, research, or institutional use. Products are not sold or intended for personal, family, or household use, and nothing in these Terms creates rights for a "consumer" as defined under applicable consumer-protection legislation.
2. Quotations and Orders
2.1 Quotations issued by ESE are valid for 30 days from the date of issue unless otherwise stated, and are not binding offers.
2.2 A binding contract of sale is formed only when ESE issues a written order confirmation, regardless of any earlier communication, quotation, or acknowledgment.
2.3 Any terms stated in Buyer's purchase order that conflict with, or add to, these Terms are rejected and have no effect unless expressly accepted by ESE in writing.
3. Prices and Payment
3.1 Prices are as stated in ESE's quotation and are exclusive of VAT, duties, and shipping/insurance unless stated otherwise.
3.2 Unless otherwise agreed in writing, payment is due within 30 days of the invoice date.
3.3 Overdue amounts accrue interest at 1% per month (or the maximum permitted by law, if lower), and ESE may suspend further deliveries until overdue amounts are paid.
4. Delivery, Risk, and Title
4.1 Delivery dates are estimates only, unless expressly agreed as binding in writing.
4.2 Unless otherwise agreed, Products are delivered Ex Works (Incoterms 2020) ESE's facility, and risk of loss or damage passes to Buyer upon delivery to the first carrier.
4.3 Title to the Products remains with ESE until ESE has received payment in full for the relevant Products.
5. Inspection and Acceptance
5.1 Buyer must inspect Products upon delivery and notify ESE in writing of any visible defect, shortage, or shipping damage within 7 days of delivery, failing which the delivery is deemed accepted.
5.2 No Products may be returned without ESE's prior written authorization (RMA).
6. Custom and Made-to-Order Products
Products manufactured, configured, or sourced to Buyer's specifications are non-cancellable and non-returnable once production or procurement has commenced, except in case of a defect covered under Section 7.
7. Limited Warranty
7.1 ESE warrants that Products will be free from material defects in materials and workmanship for 12 months from the date of delivery (the "Warranty Period"), when used in accordance with ESE's specifications and documentation.
7.2 ESE's sole obligation, and Buyer's sole remedy, for a valid warranty claim is, at ESE's option, repair, replacement, or refund of the price paid for the affected Product.
7.3 The warranty does not cover: consumable or wear parts; damage from misuse, accident, or unauthorized modification; installation, maintenance, or repair not performed or approved by ESE; use with incompatible media, chemicals, or gases; failure to follow maintenance schedules; defects arising from designs, specifications, or materials supplied by Buyer; or normal wear and tear or force majeure events.
7.4 Except as expressly set out in this Section 7, ESE makes no other warranties, express or implied, including without limitation any implied warranty of merchantability or fitness for a particular purpose.
8. Suitability for Application; Buyer's Responsibility
Many of ESE's Products are used in demanding industrial applications, including gas-handling systems, chemical reactors, furnaces, and semiconductor process equipment, that may involve high temperatures, high pressures, hazardous gases, or corrosive chemicals. Buyer is solely responsible for determining, verifying, and testing the suitability of any Product for Buyer's intended application, process, and operating environment, including compliance with applicable safety, health, and environmental requirements. Any technical advice, application guidance, or recommendation provided by ESE is offered in good faith but is advisory only, and does not relieve Buyer of this responsibility.
9. Limitation of Liability
9.1 Nothing in these Terms excludes or limits ESE's liability for death or personal injury caused by its negligence, for its own fraud, or for any other liability that cannot lawfully be excluded or limited.
9.2 Subject to Section 9.1, ESE's total aggregate liability arising out of or in connection with the sale of a Product is limited to the price paid by Buyer for that Product, and ESE will not be liable for any indirect, consequential, incidental, special, or punitive damages, or for loss of profits, revenue, production, or data, even if advised of the possibility of such damages.
10. Indemnification
Buyer will indemnify and hold ESE harmless against claims, damages, and expenses (including reasonable legal fees) arising from Buyer's misuse of a Product, Buyer's breach of these Terms, or Buyer's violation of applicable law in connection with its use, resale, or export of a Product.
11. Force Majeure
Neither party is liable for delay or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, pandemic, governmental action, or supply-chain disruption. If such an event continues for more than 90 days, either party may terminate the affected order on written notice.
12. Export Control and Compliance
Buyer must comply with all applicable export control, sanctions, and trade compliance laws in connection with any Product, and must not export, re-export, or transfer any Product in violation of such laws, including to any embargoed country, entity, or person.
13. Intellectual Property
All designs, drawings, specifications, software, and other intellectual property embodied in or related to the Products remain the property of ESE or its licensors. Nothing in these Terms transfers any intellectual property rights to Buyer beyond the right to use the Product as delivered.
14. Confidentiality
Each party will keep confidential any non-public technical or commercial information disclosed by the other party in connection with an order, and use it only for the purpose of that order.
15. Governing Law and Dispute Resolution
These Terms, and any order governed by them, are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). The competent courts of Tel Aviv-Jaffa, Israel, have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
16. General
16.1 Buyer may not assign any order or these Terms without ESE's prior written consent.
16.2 If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
16.3 ESE's failure to enforce any provision is not a waiver of that provision.
16.4 These Terms, together with ESE's order confirmation, constitute the entire agreement between the parties regarding the relevant order, and supersede all prior discussions or agreements on that subject.
16.5 ESE may update these Terms from time to time; the version in effect at the time of the relevant order confirmation applies to that order.
16.6 These Terms are drawn up in English. In case of any conflict between the English version and a translation, the English version prevails.

תנאי מכירה כלליים אלה ("התנאים") חלים על כל הצעת מחיר, הזמנה ומכירה של מוצרים על ידי חברת E.S.E הנדסה מחקר ופיתוח בע"מ ("ESE" או "המוכר"), חברה הרשומה בישראל שמשרדה הרשום ברחוב העבודה 7, אריאל, ישראל, לכל לקוח עסקי, מקצועי או מוסדי ("הקונה").
1. מכירה עסקית בלבד (Business-to-Business)
מוצרי ESE ("המוצרים") נמכרים אך ורק לשימוש מקצועי, מסחרי, תעשייתי, מחקרי או מוסדי. המוצרים אינם נמכרים ואינם מיועדים לשימוש אישי, משפחתי או ביתי, ואין באמור בתנאים אלה כדי להקנות זכויות ל"צרכן" כהגדרתו בדין הגנת הצרכן החל.
2. הצעות מחיר והזמנות
2.1 הצעות מחיר שמנפיקה ESE תקפות למשך 30 יום ממועד הנפקתן, אלא אם צוין אחרת, ואינן מהוות הצעה מחייבת.
2.2 הסכם מכירה מחייב נכרת רק עם הנפקת אישור הזמנה בכתב מטעם ESE, על אף כל תקשורת, הצעת מחיר או אישור מוקדם יותר.
2.3 כל תנאי המופיע בהזמנת רכש של הקונה הסותר תנאים אלה, או מוסיף עליהם, נדחה ולא יהיה לו תוקף אלא אם ESE אישרה אותו במפורש ובכתב.
3. מחירים ותשלום
3.1 המחירים הם כמפורט בהצעת המחיר של ESE, ואינם כוללים מע"מ, מכסים, משלוח וביטוח, אלא אם צוין אחרת.
3.2 אלא אם הוסכם אחרת בכתב, מועד התשלום הוא בתוך 30 יום ממועד החשבונית.
3.3 על סכומים שלא שולמו במועד תיווסף ריבית בשיעור של 1% לחודש (או השיעור המרבי המותר בחוק, אם נמוך יותר), ו-ESE רשאית להשעות אספקות נוספות עד לתשלום הסכומים שבפיגור.
4. אספקה, סיכון ובעלות
4.1 מועדי אספקה הם הערכה בלבד, אלא אם הוסכם במפורש ובכתב כי הם מחייבים.
4.2 אלא אם הוסכם אחרת, המוצרים נמסרים בתנאי Ex Works (Incoterms 2020) ממתקן ESE, והסיכון לאובדן או נזק עובר לקונה עם מסירת המוצרים למוביל הראשון.
4.3 הבעלות במוצרים נשארת בידי ESE עד לקבלת מלוא התמורה בגין המוצרים הרלוונטיים.
5. בדיקה ואישור קבלה
5.1 על הקונה לבדוק את המוצרים עם קבלתם ולהודיע ל-ESE בכתב על כל פגם נראה לעין, חוסר או נזק הובלה בתוך 7 ימים מהמסירה, שאם לא כן תיחשב האספקה כמאושרת.
5.2 לא יוחזרו מוצרים ללא אישור החזרה מראש ובכתב מ-ESE (RMA).
6. מוצרים מותאמים אישית ומוצרים המיוצרים לפי הזמנה
מוצרים המיוצרים, מותאמים או מסופקים לפי מפרט הקונה אינם ניתנים לביטול או להחזרה לאחר שהחל הייצור או הרכש, למעט במקרה של פגם המכוסה בסעיף 7.
7. אחריות מוגבלת
7.1 ESE מתחייבת כי המוצרים יהיו נקיים מפגמים מהותיים בחומרים ובעבודה למשך 12 חודשים ממועד האספקה ("תקופת האחריות"), בכפוף לשימוש בהתאם למפרטי ולתיעוד ESE.
7.2 חובתה היחידה של ESE, ותרופתו הבלעדית של הקונה, בגין תביעת אחריות תקפה, היא – לפי בחירת ESE – תיקון, החלפה או החזר כספי של המחיר ששולם עבור המוצר הנפגע.
7.3 האחריות אינה חלה על: חלקים מתכלים או הנשחקים בשימוש; נזק כתוצאה משימוש לא נכון, תאונה או שינוי בלתי מורשה; התקנה, תחזוקה או תיקון שלא בוצעו או אושרו על ידי ESE; שימוש עם חומרים, כימיקלים או גזים שאינם תואמים; אי-עמידה בלוחות זמני תחזוקה; פגמים הנובעים מעיצובים, מפרטים או חומרים שסיפק הקונה; או בלאי רגיל, או אירועי כוח עליון.
7.4 למעט כאמור במפורש בסעיף 7 זה, ESE אינה מעניקה אחריות נוספת, מפורשת או משתמעת, לרבות כל אחריות משתמעת לסחירות או להתאמה למטרה מסוימת.
8. התאמה ליישום; אחריות הקונה
חלק ניכר ממוצרי ESE משמש ביישומים תעשייתיים תובעניים, לרבות מערכות טיפול בגזים, כורים כימיים, תנורים וציוד תהליכי לתעשיית המוליכים למחצה, העשויים לכלול טמפרטורות גבוהות, לחצים גבוהים, גזים מסוכנים או כימיקלים קורוזיביים. הקונה אחראי באופן בלעדי לקביעה, לאימות ולבדיקה של התאמת כל מוצר ליישום, לתהליך ולסביבת ההפעלה המיועדים לו, לרבות עמידה בדרישות הבטיחות, הבריאות והסביבה החלות. כל ייעוץ טכני, הנחיה ליישום או המלצה שמעניקה ESE ניתנים בתום לב אך הם מהווים ייעוץ בלבד, ואינם פוטרים את הקונה מאחריות זו.
9. הגבלת אחריות
9.1 אין באמור בתנאים אלה כדי לשלול או להגביל את אחריותה של ESE למוות או לפגיעה גופנית שנגרמו כתוצאה מרשלנותה, למרמה מצדה, או לכל חבות אחרת שלא ניתן לשלול או להגביל אותה על פי דין.
9.2 בכפוף לסעיף 9.1, סך כל חבותה של ESE הנובעת מ- או הקשורה למכירת מוצר מוגבלת למחיר ששילם הקונה עבור אותו מוצר, ו-ESE לא תישא באחריות לכל נזק עקיף, תוצאתי, אגבי, מיוחד או עונשי, או לאובדן רווחים, הכנסות, ייצור או מידע, גם אם נמסרה לה הודעה על אפשרות להתרחשות נזקים כאמור.
10. שיפוי
הקונה ישפה ויגן על ESE מפני תביעות, נזקים והוצאות (לרבות שכר טרחת עורכי דין סביר) הנובעים משימוש לא נכון של הקונה במוצר, מהפרת תנאים אלה על ידי הקונה, או מהפרת דין חל בקשר עם שימוש, מכירה חוזרת או ייצוא של מוצר על ידי הקונה.
11. כוח עליון
אף אחד מהצדדים לא יישא באחריות לעיכוב או לאי-ביצוע הנובעים מנסיבות שאינן בשליטתו הסבירה, לרבות אסונות טבע, מלחמה, טרור, מהומות אזרחיות, מגפה, פעולת ממשל או שיבוש בשרשרת האספקה. אם אירוע כאמור נמשך למעלה מ-90 יום, כל צד רשאי לבטל את ההזמנה הנוגעת בדבר בהודעה בכתב.
12. פיקוח על יצוא וציות
על הקונה לציית לכל דיני פיקוח על יצוא, סנקציות וציות מסחרי החלים בקשר עם כל מוצר, ואסור לו לייצא, לייצא מחדש או להעביר מוצר תוך הפרת דינים אלה, לרבות למדינה, גוף או אדם החייבים באמברגו.
13. קניין רוחני
כל העיצובים, השרטוטים, המפרטים, התוכנה וקניין רוחני אחר הגלום במוצרים או הקשור אליהם נותרים בבעלות ESE או מעניקי הרישיון שלה. אין בתנאים אלה כדי להעביר לקונה זכויות קניין רוחני מעבר לזכות להשתמש במוצר כפי שנמסר.
14. סודיות
כל צד ישמור בסודיות מידע טכני או מסחרי שאינו פומבי שנמסר לו על ידי הצד השני בקשר עם הזמנה, וישתמש בו אך ורק לצורך אותה הזמנה.
15. דין חל ויישוב סכסוכים
תנאים אלה, וכל הזמנה הכפופה להם, כפופים לדיני מדינת ישראל, מבלי ליתן תוקף לכללי ברירת הדין שלהם ותוך החרגה מפורשת של אמנת האומות המאוחדות בדבר חוזים למכר בין-לאומי של טובין (CISG). לבתי המשפט המוסמכים בתל אביב-יפו, ישראל, תהיה סמכות שיפוט ייחודית בכל סכסוך הנובע מתנאים אלה או הקשור אליהם.
16. הוראות כלליות
16.1 הקונה אינו רשאי להמחות הזמנה כלשהי או תנאים אלה ללא הסכמת ESE מראש ובכתב.
16.2 אם הוראה כלשהי בתנאים אלה תימצא בטלה או בלתי ניתנת לאכיפה, יתר ההוראות יישארו בתוקף מלא.
16.3 אי-אכיפת הוראה כלשהי על ידי ESE אינה מהווה ויתור על אותה הוראה.
16.4 תנאים אלה, יחד עם אישור ההזמנה של ESE, מהווים את ההסכם המלא בין הצדדים ביחס להזמנה הרלוונטית, וגוברים על כל דיון או הסכם קודם בנושא.
16.5 ESE רשאית לעדכן תנאים אלה מעת לעת; הנוסח התקף במועד אישור ההזמנה הרלוונטי יחול על אותה הזמנה.
16.6 תנאים אלה נערכו באנגלית. במקרה של סתירה בין הנוסח האנגלי לתרגום, הנוסח האנגלי גובר.
